Agreement and the Services
These Terms are a binding agreement between you and Retro Industries Inc., a Florida corporation doing business as Ship Safe Offers. By accessing shipsafeoffers.com, installing or using Margin Safe Discounts or Margin Safe Packer, or receiving a Protected Offer Audit, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to bind it.
Ship Safe Offers provides pricing infrastructure and related applications that predict shipment cost, compute margin-protected offers, execute approved offers on connected storefronts, and reconcile results. Features, availability, and integrations may change as the Services evolve. Pilot or beta features are identified as such.
Accounts and eligibility
You must be at least 18 and able to form a binding contract. You must provide accurate information, keep credentials confidential, and are responsible for activity under your account and for users you authorize, including warehouse operators using Margin Safe Packer.
Merchant responsibilities and data
- You are responsible for the accuracy of catalog, cost, dimension, margin-floor, and carrier information you provide or connect. The Services fail closed when inputs are missing or weak but cannot correct information supplied incorrectly.
- You grant us the rights necessary to process store, catalog, order, and shipment data to provide the Services. As between us, that business data is yours; personal information within it is handled under the Data Processing Addendum.
- You are responsible for your pricing decisions, compliance with consumer-protection, pricing-disclosure, tax, advertising, and privacy laws, and your relationships with shoppers and carriers.
Offers, margin protection, and outcomes
The Services are designed to protect a defined margin floor on eligible discounted lines and exclude lines whose economics are unknown. Protection does not extend to excluded lines, incorrect inputs, or costs outside the configured model. The Services do not guarantee any conversion, revenue, savings, or profit outcome. Carrier rates, platforms, and merchant-provided information can change or fail.
Fees, payment, refunds, and cancellation
Fees, billing frequency, and performance-based or managed-service terms are shown at purchase or in an order form. Unless an order form or applicable law says otherwise, fees exclude taxes and are non-refundable under the Refund & Cancellation Policy. Past-due amounts may result in suspension.
Third-party platforms and carriers
The Services integrate with third-party commerce platforms and carriers under their own terms. We are not responsible for those parties, their availability, or their charges. Your use of a connected provider remains subject to that provider’s agreement.
Acceptable use
The Acceptable Use Policy is part of these Terms. A violation may result in investigation, suspension, or termination.
Intellectual property
The Services, engine, models, software, content, and related intellectual property are owned by Ship Safe Offers or its licensors and protected by law, including pending patent applications and trade-secret protection. During a subscription, we grant a limited, non-exclusive, non-transferable, revocable license to use the Services. You may not copy, reverse-engineer, decompile, probe, scrape, benchmark for a competing product, or attempt to derive internal logic, rate data, or datasets. We may use feedback you provide without restriction.
Ownership of data
As between the parties, you own store, catalog, and order data you provide or connect to run your business. Ship Safe Offers retains all rights in other data generated with the Services that is not directly related to your business operations, including derived and actual measurements, packout and delivered-cost intelligence, reconciliation and accuracy outputs, time-to-shipment and delivery-performance metrics, and aggregated or de-identified learning data, together with the models, datasets, and methods used to produce it.
Confidentiality
Each party may receive confidential information from the other. The recipient will protect it, use it only for the relationship, and disclose it only to people with a need to know who are bound to confidentiality. Our engine internals, pricing logic, rate tables, and datasets are our confidential information and trade secrets.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, UNINTERRUPTED AVAILABILITY, AND THAT ANY ESTIMATE, RATE, OR PREDICTION WILL BE ACCURATE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability that cannot lawfully be limited.
Indemnification
You will defend and indemnify us against third-party claims arising from your data, pricing and advertising decisions, breach of these Terms, or violation of law, except to the extent caused by our own breach.
Term, suspension, and termination
These Terms apply while you use the Services. Either party may terminate as stated in an order form or for material breach. We may suspend service for security, legal, or non-payment reasons. On termination, your license ends. We will make data available for export and then delete or return personal information as described in the Privacy Policy and DPA, subject to legal holds.
Florida law and disputes
These Terms are governed by Florida law without regard to conflict-of-law rules. Unless a separate written agreement provides for arbitration or another forum, the parties submit to the state and federal courts serving Orange County, Florida.
Changes and contact
We may update these Terms. Material changes will be posted with a new date and, where required, notified to you. Continued use after an update takes effect means you accept the updated Terms.
